Please read these Terms and Conditions (“Terms”, “Terms and Conditions”, Agreement”) carefully before using the services provided by WeP Solutions Limited (CIN L72200KA1995PLC025617), a company registered under the provisions of the Companies Act, 2013 and having its registered office at #40/1A, Basappa Complex, Lavelle Road, Bangalore 560 001, Karnataka (hereinafter referred to as “Wepsol” which expression shall unless be repugnant to the context or meaning thereof be deemed to mean and include its successors and permitted assigns).
Wepsol is engaged interalia in the business of providing intelligent workplace services, solutions and products which include IT Infrastructure Managed Services, Managed Printing Services, Digital Automation Services and Retail Billing Solutions. Wepsol has agreed to provide its Retail billing solutions and related products and services (collectively, “Services”) to You (hereinafter referred to as “Customer”) on its website Hookswepsol.com (hereinafter referred to as “Website”), and the Customer has agreed to avail such services, on the terms and conditions as agreed hereinafter.
Customer’s access to and use of the Service is conditioned on its acceptance of and compliance with these Terms. These Terms apply to all users and others who access or use the Service (hereinafter referred to as “User”)
By accessing or using the Website and the content and services available via the Website, Customer signifies to have read, understand, and agree to be bound by these Terms in all respects with respect to the Website; such agreement will be deemed for all legal purposes to be in writing and legally enforceable as a signed written agreement. If Customer is not willing to be bound by the terms, the Customer may not use, and must cease using, the Website.
Customer and Wepsol are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

In Consideration Of The Mutual Covenants And Conditions, It Is Hereby Further Agreed Between The Parties That: -

A.services

  1. Wepsol shall provide services to Customer in accordance with and subject to the terms and conditions set forth.
  2. Wepsol is constantly innovating in order to provide the best possible experience for its users. Customer acknowledges and agrees that the form and nature of the Services which Wepsol provides may change from time to time without prior notice to Customer.

B.use Of Services

  1. In order to avail Services from Wepsol, the Customer may be required to provide certain information (such as identification, email, phone number, contact details, etc.) as part of the registration process, or as part of Customer’s ability to use the Services. The Customer agrees that any information provided will always be accurate, correct, and up to date.
  2. The Customer is responsible for maintaining the confidentiality of any login information associated with any account used to access Wepsol’s Services/Resources. Accordingly, the Customer is responsible for all activities that occur under the User’s accounts.
  3. By registering on the website, Customer consents to Wepsol using the email address to send the Customer Service-related notices, including any notices required by law, in lieu of communication by postal mail.
  4. Customer agrees to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

C.customer Usage Restrictions

In addition to all other terms and conditions of this Agreement, Customer shall not:
(i) transfer the Services or otherwise make it available to any third party without the consent of Wepsol;
(ii) attempt to modify, copy, duplicate, reproduce, sell, disassemble, reverse engineer or decompile the Services;
(iii) post links to third party sites or use their logo, company name, etc. without their prior written permission
(iv) attempt to gain unauthorized access to the Services or its related systems or network;
(v) use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Wepsol;
(vi) use the Services to send or store material containing software viruses, worms or other harmful computer codes, files, scripts or programs;
(vii) use the Services in any manner that interferes with or disrupts the integrity, security or performance of the Services, its components and the data contained therein;
(viii) violate any applicable local, state, national or international law.
Wepsol reserves the right to terminate Customer’s access to the Services if there are reasonable grounds to believe that Customer has used the Services for any illegal or unauthorized activity. The Customer is solely responsible for any consequences, losses, or damages that Wepsol may directly or indirectly incur or suffer due to any unauthorized activities conducted by the Customer, as explained above, and may incur criminal or civil liability.

D.payment Terms

  1. Customer agrees to the commercial terms as selected or opted by it. Invoices will be sent in electronic form/soft copy via email only.
  2. The Services are available under subscription plans of various durations. The Customer’s subscription will be automatically renewed at the end of each subscription period unless Customer downgrades their paid subscription plan or informs Wepsol that Customer does not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the payment mode/ Credit Card last used by the Customer. If Customer does not wish to renew the subscription, Customer must inform Wepsol at least 10 days prior to the renewal date. If Customer has not downgraded the plan and if Customer has not informed Wepsol that they do not wish to renew the subscription, Customer will be presumed to have authorized Wepsol to charge the subscription fee to the Credit Card last used by Customer.
  3. From time to time, Wepsol may change the price of any Service. Any increase in charges will not apply until the expiry of the Customer’s then current billing cycle.
  4. Wepsol shall charge applicable taxes from time to time and Customer agrees to pay the fees including such taxes. Fees shall be exclusive of all union, state, municipal or other governmental levies, goods and services tax, excise, sales, uses or similar taxes and customer agrees to pay the fees including such taxes. These will be as applicable and additionally payable. It is subject to change as per the Government regulations.

E.suspension And Termination

  1. Wepsol may suspend the Customer user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to Wepsol within thirty days of being notified about the suspension.
  2. In addition, Wepsol reserves the right to terminate Customer user account and deny the Services upon reasonable belief that Customer has violated the terms of this Agreement. Termination of user account will include denial of access to all Services, deletion of information in Customer’s user account such as Customer user’s email address and password and deletion of all data in Customer user account.
  3. Customer has the right to terminate their Customer user account if Wepsol breaches its obligations under this Agreement and in such event, Customer will be entitled to prorated refund of any prepaid fees.

F.representations

Each Party represents to the other Party as mentioned hereto that:
  1. Assuming the due authorization, execution and delivery hereof by the other party, this agreement constitutes a legal, valid and binding obligation on each Party to this agreement, which is enforceable against each Party in accordance with its terms and conditions.
  2. The execution, delivery and performance of this agreement by each Party and the transactions contemplated hereby will not (i) violate any provision of the organizational or governance documents of each Party, (ii) violate or conflict with any agreement that the representing Party may have with any person; (iii) conflict with or result in any material breach or violation of any of the terms and conditions of, or constitute (or with notice or lapse of time or both constitute) a default under, any instrument, agreement or other agreement to which each Party is a Party or by which such Party is bound, (iv) violate any order, injunction, judgment or decree against, or binding upon, each Party or upon its respective securities, properties or businesses, or (v) violate any applicable law.
  3. Either party shall not violate any proprietary and intellectual property rights of any third party, including without limitation, confidential relationships, patent, trade secrets, copyright and any other proprietary rights.
  4. Wepsol shall retain the information provided by the Customer for the avowed purposes set out in this agreement and for such periods as permitted under the applicable laws.

G. Warranties

Customer Expressly Understands And Agrees That The Use Of The Services Is At Customer’s Sole Risk. The Software Is Provided To Customer “as Is,” And Wepsol Disclaims All Warranties, Express, Implied, Statutory, And Otherwise, With Respect Thereto, Including Any Warranty Of Merchantability, Noninfringement, Or Fitness For A Particular Purpose. Wepsol Does Not In Any Way Represent That The Software Will Meet Customer’s Requirements Or That The Operation Of The Software Will Be Uninterrupted Or Error-free. Use Of Any Material Downloaded Or Obtained Through The Use Of The Services Shall Be At Customer’s Own Discretion And Risk And Customer Will Be Solely Responsible For Any Damage To Customer’s Computer System, Mobile Telephone, Wireless Device Or Data That Results From The Use Of The Services Or The Download Of Any Such Material

H. Privacy Policy

The Privacy of the website’s Users is of utmost importance to Wepsol and that is why a separate Privacy Policy is created to explain how the User’s data is collected and used. Please read the Privacy Policy for more information with regards to this. Customer’s election to use the Service indicates acceptance of the terms of Wepsol’s Privacy Policy.

I. Indemnification

Customer agrees to fully indemnify Wepsol and its subsidiaries, affiliates, directors, agents and employees from and against any losses, damages, fines and expenses (including attorney’s fees and costs) arising out of or relating to any claims due to any content or information posted or transmitted by Customer using the Websites or otherwise arising out of Customer’s use of the Websites or use of the Websites by any third party who is given or gains access to the Websites due to Customer’s action or inaction.

J. Intellectual Property Rights

Unless otherwise indicated, this Website and its contents are the property of Wepsol. All contents and materials available on this Website, including but not limited to text, graphics, website name, code, images and logos are the intellectual property of the Company, and are protected by applicable copyright and trademark law. All the intellectual property rights on products (patents, trademarks, copyrights, design rights, know-how and processes), which are used, made accessible or represented as Wepsol Property, shall remain the exclusive property of Wepsol. Except as specifically permitted herein, the same may not be used without the prior written permission from Wepsol. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by the Company.

K. Limitation Of Liability

In no event shall Wepsol be liable to Customer or any third party for any incidental, consequential, indirect, special, or exemplary damages, including, without limitation, loss of business, loss of profits, business interruption, loss of business information or any pecuniary loss, arising out of, in connection with, or relating to the use or performance of the information referenced by or linked to this website. The website may contain links to other websites operated by third parties, Wepsol is not responsible for the terms of use or policies of such third-party websites. Further, the entire liability of Wepsol arising under or in connection with this agreement, whether arising in contract, tort, negligence, misrepresentation, for breach of duty or otherwise, shall be limited in aggregate to 50% of the average annual charges paid by Customer to Wepsol.

L. Governing Law & Jurisdiction

If Customer chooses to visit the website, the visit and any dispute over the terms are subject to these terms and the website’s terms of use. In addition to the foregoing, any disputes arising under the terms shall be governed by the laws of India and exclusively by the Courts in the city of Bangalore.

M. Updates To These Terms

These terms are subject to periodical updates and Wepsol reserves the right to update or amend the terms from time to time. Wepsol will notify Customer of any material changes to the terms as required by law. Wepsol will also post an updated copy on the website. Please check the website periodically for updates.

N. Disclaimer

Usage of this website shall be construed and deemed as an acceptance of all Wepsol terms and conditions and policies. It is also understood that acceptance of the Disclaimer will amount to a waiver by Customer in respect of any claims that Customer may have against Wepsol arising from the content posted herein, Customer’s usage of this Website or interaction with any other User/ Member, back-end team member, or personnel associated with this Website. Customer understands that Wepsol cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. Customer is responsible for implementing sufficient procedures and checkpoints to satisfy their particular requirements for accuracy of data input and output, and for maintaining a means external to the Site for the reconstruction of any lost data. It is the Customer’s responsibility to be aware of any such revised terms by checking the website. Customer’s continued use of this website following changes to terms and conditions and policies constitutes the Customer’s agreement to the revised content of terms and conditions and policies.
